Would you check this sentence, please? (IMPORTANT!!)

Would you look into the following sentence out of an engagement letter and check whether there is no problem with it? I am not sure whether it makes sense. Thank you in advance for your helpful opinion.

Sentence to proofread:

"The Company shall indemnify and hold harmless B and its personnel from all claims, liabilities, and expenses relating to this engagement if it is caused from the reason attributable to the bad faith or intentional misconduct of B nor foreseeable nor avoidable by B."

Top answer

The "nor foreseeable nor avoidable by B" at the end does not make much sense to me. From what I gather, though, it seems superfluous.

Thank you for your input.

But I wonder, 'should they put 'not' in between "is" and "caused" in order to make sense, or replace 'if' with 'unless'?'

I need confirmation.

Those would make it so that bad faith and intentional misconduct will nullify the possibly indemnification. If that is what you wish, either of those will work.

I was wondering why you'd let B get away with such things.

Oh, no, no, no..

We (the company) don't have any intention to let B get away with doing bad faith or intentional misconduct.

The sentence is part of the engagement letter that "B" drafted and sent us.

Since we are not native speaker, we needed confirmation of native speakers on our beliefs that the meaning of the sentence is ridiculous.

Thank you!!

Well, at the moment it is saying that if B does anthing intentionally wrong, then B won't be held liable for it!

Indemnify means to hold accountable. i would say the beginning portion of the sentence is contradictory.
