Dear all,

could anybody say me what is ment with "withold" in this context:

Company A will not be responsible to Company B or any of its Personnel for any FAILURE of any of them to WITHHOLD from employee compensation or other payments such as taxes, interest, penalties, payments for benefits, contributions to fringe benefit plans or any other payment due to any person, government agency, tax authority or any other entity or plan of any kind.



Is it that one of the companies does not fulfil its duties in respect to ...



or is something missing in the text. In my opinion the first is right.
