Will vs. would appreciate

Question

Your assistance will be very much appreciated.Your assistance would be very much appreciated.1.  I understand that would is normally used with a condition.  In the context above, what could be the condition implied?  Is it if the listener would give assistance?2.  Also, I know that would is a polite form, but I'm not sure if it applies in this context, don't you think?  Both sentences sound polite to me.3.  Which between the statements above do you think is naturally spoken?

Use this one when it is fairly (or completely) certain that assistance will be given.

Basically, yes, but you don't absolutely have to have a condition before you can use "would".
