Which one is modified?

First, please look at the two following sentences.

A. He is a good teacher respected by all students.
B. I was impatient for his return fully prepared to rebuke him.

In sentence A, "respected by all students" modifies "the teacher." However, in sentence B, "fully prepared to rebuke him" modifies "I", not "his return."
So, could you tell me why this difference happens?
In this sense, I also wonder who is "talking with Tom's friend" in the following sentence.

Tom gazed at her talking with his friend.
