"unlikely" means "not likely", "not probable". The boy is saying that he doesn't think they have met before.

"You can't quite place it" means "You can't quite figure out why I look familiar; you can't quite remember when and where you think we met".

If the girl is agreeing that she "can't quite place it" then the logical response is "no", not "yes".
