What is the best way to include refund money clause in a project agreement?

I want to write an agreement with a company who is developing software for me. I want to make sure that if the company fails to develop software as agreed they will refund money I paid to them up to that point.

I have compiled the following sentence. Is this the best format to put the clause? I dont want to sound rigid.

'In any unfortunate situation the 'company' fails to complete the project as outlined in the requirement document published by Mr.Mark. 'Company' should offer full refund of money paid upto that period by Mr. Mark'

This is more standard:

Should 'Company' fail to complete the project as outlined in the requirement document issued by Mr.Mark, 'Company' shall refund all payments made to that point by Mr. Mark.
