What does "very tired" refer to?

I was just sitting next to him, very tired.

1) Is this sentence grammatically correct and natural?
2) What does "very tired" refer to? "I" or "Him" ?

I think "very tired" is referring to either "I" or "Him" according to context, so we don't know whether "very tired" is referring to "I" or "HIm" only with the sentence. Am I right?
