On the one hand, to acknowlege the quality of the transaction and valuation brought to investors (OZ) by the management led by Andy, and the parri-passu positioning the management is prepared to offer OZ; on the other hand to recognise that while the acquisition and post acquisition operations will pose a significant challenge and impose rigorous demands on the management, it will also, if executed well, create substantial upside value for the shareholders, we propose that the incentive for management for every Rmb should be 1.33%. (All other metrics to be adjusted based on this underlying metrc)

1.What does 'Upper Case' mean in this context? I don't know. perhaps it's just asuggestion to the typist that this tile should be typed in upper-case.
