Upgrade and Update

Last year, I found about the giveaway and got the key AF-EMEQVLNN-MBZUEX.
From time to time I got the update warning but never cared to update, never felt the need given the thing did what I needed most.
However, today, I'm about to convert a FullHD stream, from the very same camera I've been using since I first used the program, to HD Avi and it crashed. I fired it again and, guess what, decided to update.
I'm asked for a serial, I copy the serial, I pasted it and ... "Incorrect License Code"
If this is an UPGRADE, why(!!!) does it state it as an UPDATE instead???

I am not sure what he means in the last sentence, what is the difference between Upgrade and Update?
