Two sentences

1 He is indifferent to (who wins or loses).
I don't quite understand the part in the bracket, what role does it play?
2 This is the first time (that ;when) he saw her.
Can (that,when) be ommitted? Or only "that" can be used here ?

I don't quite understand the part in the bracket, what role does it play? It says what situation he is indifferent to. The expression is indifferent to is usually followed by an indirect question, just as its synonym doesn't care is also followed by an indirect question.

Use either 'that' or nothing at all. Don't use 'when'.

This is the first time he saw her is the more idiomatic version. I recommend this one.
