Talk to sb or with sb

Hi.

Is there any difference between talk to sb and talk with sb?

I feel that there are some contexts that one suits better than the other. Are they completely interchangeable?

I have the same impression about these two phrases, I just couldn't utter it.

For example when I give some information to sb I talk to him, but talk with sb sounds like a conversation which indicates both sides are involved rather than one person talks and the other listens.
