Shall be & shall never be

Please would someone check the following sentences if they are correct:

1) Survey and inventory of existing pipelines, cables, and any underground structures, for both offshore and onshore, shall be perform/performed by the Client prior to start of the works at no cost to the SubcontractorI. MS Word is marking the word 'performed' when used, as incorrect.
2) In that respect, Subcontractor shall never be held responsible for possible damages to any underground services, cables, pipelines, etc., which are present in the working area during execution of the works. 'Shall never be held' is marked as incorrect by MS word, why?
