Representation

I have to translate a sentence in which a shareholder has to represent a company. The problem is that the source sentence does not contain the word company. So I would like to know if I could is such construction also in English or should I make it passive:

"If only one shareholder has been appointed, he shall represent solely"

or

"If only one shareholder has been appointed, representation shall be carried out by him solely"

I also have a doubt if in this case "representation" is not restricted to the meaning "representation by a laywer"
