Please kindly help with the usage of "either" and "both"

0 i'm concerned with whether the words "both" and "either" as used in the following paragraph are correctly employed. By the way, this is from a draft agreement. should there be some other errors in its wording or expressions, i shall be grateful if u can kindly point out. Many thanks. 02br

I do appreciate ur kind corrections and improvement. but as a matter of fact, this is a translation of a Chinese version Agreement which explains why it does'nt sound so idiological. frankly i found somewhat different way of thinking in ur corrections, which goes beyond the concept of lingual expression. 02br
