Please help me understand this legal clause

a. Company agrees to defend its employees from all claims, losses, damages or expenses arising as a result of actions of Company, its agents or employees causing (a) actual or asserted violations of any applicable law or regulation by virtue of which Products that are distributed or sold shall be alleged or determined to be adulterated, misbranded, mislabeled, misrepresented or otherwise not in compliance with any applicable law or regulation

I don't understand the part after (a). The sentence structure doesn't seem proper as I can find the subject for "shall be~" clause
