Consumer Products Manufacturing, Inc.

Memo to: Bob Karran, Vice President of Legal Affairs
From: Mary Johnson, Director of Human Resources
Re: Next steps in the Healthways International contract
Date: September 28

Bob,

I need to express some concerns I have about the contract we are negotiating with Healthways International. While I am quite excited about the possibilities for an expanded product line, I am also a bit hesitant about the possible effects on our staffing in the proposed venture.

I understand that these discussions could result in a financial benefit for our company and an expanded product line. However, I don't want us to get carried away by the potential infusion of capital without thinking about our employees. What if the deal were to fall through after we've started preparing for increased production? We need to plan for all possible outcomes.

Likewise, we shouldn't go overboard in committing funds to plant development at this early stage in the negotiations. While it is important to build our infrastructure-and especially the assembly line-we need to answer some critically important questions first. For example, if we switch over to more modern machinery to increase production for Healthways, would we have to hire and train a large number of new employees quickly? If the answer is yes and we can be certain about that, then we should pursue this opportunity actively but cautiously.
Basically, I'm saying that this undertaking may turn out to be very profitable for our company, but I want to make sure that my department is ready for any employee-related changes.

Can we meet Tuesday morning? I want us to be clear about our strategy for moving forward. If you and I have a chance to talk before we meet with the CEO of Healthways, we will have a more coordinated plan of action for talking to her. Please let me know what time is good for you. Thanks.

Mary
