Please check the commas

Hello!
Could you please check the commas? Im sorry that this paragraph is quite long. But is everything understandable?

The Bank, when signing the pledge agreement in favor of the Company, knowingly caused losses to the creditors. The Bank, its board and council members and Company knew, or they had to know, that they are causing losses, because this transaction basically was conducted in favor of one person linked to the Bank (as on the moment of signing the pledge agreement – member of the council) and representative of the Company, as well as in favor of the true recipient of the benefits, John Smith.

The whole last half is confusing, but this is not a problem of commas. " If John Smith is a member of the council and a representative of the company, you would write it one way. If someone else is a member of the council and a representative of the company but John Smith actually got the benefit, then you would write it another way.

If John Smith is a member of the council and a representative of the company, you would write it one way. If someone else is a member of the council and a representative of the company but John Smith actually got the benefit, then you would write it
