any one can tell me the exact meaning of Notwithstanding. if we write "XYZ shall be liable for any breach under this agreement notwithstanding, the ommission or negligence of XYZ. What does it mean?

I agree about the meaning already given for 'notwithstanding'. Note also that you should not put a comma after 'notwithstanding', because

notwithstanding the omission or negligence of XYZ is a single phrase.

I'd put one before it, but if you ask a lawyer about that he'd probably charge you a high fee for his opinion.

In simple terms, the overall meaning here seems to be

Fred is liable even if Fred messes up.

That seems like a slightly odd thing to say, because it seems obvious.

I would expect something like

Fred is liable even if Tom messes up.

In other words, are you sure the second party referred to is really XYZ?

Notwithstanding means 'despite the mentioned fact'. It is analogous to nevertheless or nontheless in meaning.
