Is ''THAT'S what she thinks'' grammatically correct?

I wonder why that this sentence should not be like this ''THAT what she thinks'' , i know its a stupid question, but please i'd appreciate it if someone could tell me why the above sentence is correct, thanks!

'That what she thinks' is not a sentence; it is a dependent clause which needs a main clause to contain it: I don't believe that what she thinks is true . 'That's (= That is) what she thinks' is a complete sentence as it stands.
