Is of....

The sentence below is copied from my textbook:

Auditor independence from the board of directors is of great importance to shareholders.

Why there is a preposition "of" in the middle of the sentence? Is it necessary to include it? What's the role of this preposition?

Can I revise it like this?

Auditor independence from the board of directors is a great importance to shareholders.

Fish of great size live in the pool.

Why it's not "Fish of great size lives in the pool"?

If you want the singular, you write:

A fish of great size lives ...

For the plural, you write:

Fish of great size live ...

The plural of fish is fish.
