Are these both correct grammar?

The shell corportion was set up in a way ( so ) as to make it untraceable.
The shell corportion was set up in a way that it is untraceable.

I don't think it is. I think it's a company set up on paper for tax evasion or other criminal purposes. It's an empty shell - there is nothing inside.

Is your second sentence ambiguous? Does it just refer to the way the corporation was set up (so, for example, we don't know who set it up or how)? The original poster wanted to say that its operation (for example, where its money comes from and where it goes) is untraceable, right?
