I feel so confused if the following sentence shows licensee should burden any and all of the taxes, duty, fee ect. Does it mean that Licensee should be responsible for "the tax based on the Licensor's net income"(sometimes we call it withholding tax)? Thanks for help in advance,
The amounts indicated above for fees do not include any shipping or freight charges nor do fees include any federal, state, local or other governmental taxes, excise taxes, tariffs or other governmental charges that may be imposed on sale, transportation, production, storage or export of the Licensor's technology or products. Licensee shall pay any wire transfer fees associated with wiring funds to Licensor. Licensee shall pay, indemnify and hold Licensor harmless from any shipping or freight charges or any sales, use, excise, import, value-added, or similar tax or duty, and any other tax or duty not based on Licensor’s net income, and all government permit fees, license fees, customs fees or similar fees levied upon any deliverables under this Agreement or due to any payment to be made pursuant to this Agreement, and any penalties, interest, collection costs and withholding costs associated with any of the foregoing items.

It sounds like the Licensee pays for everything. The only exception is that you don't have to pay any part of their corporation tax.
