Glad of ...

Today, my foreign friend said this to me, but I am not very sure of its meaning. Can you tell me what it means?

I would be glad of some help.

What did he mean?

Did he mean:

1. I am glad because you have helped me.

OR

2. I am glad because I have helped you.

Additionally, why did he want to use "would" in his sentence?
