Down to/fall apart...

The alliance is now down to 2 companies, and is falling apart. We have no intent yet with the rift that is happening between Coke and Pepsi to committ to doing anything sight unseen.

down to is the same as up to?
what's the meaning of falling apart and "anything sight unseen"?
