A clause in a contract says that “... vendor should deliver by July the 10th ... under certain conditions ...” And I wanted to add a wording to say that if It fails to do so (i.e. delivers later or in an inappropriate manner), will be liable for damages or losses y could have.
Is it correct using the following sentence to say so? “Vendor will be liable for any damages and losses arising from disregarding this prevention”
