Commas needed for clarity?

Are the commas required in each sentence below?


He said, on 31 August, that he may retire.


He said that, on 31 August, he may retire.

No, the commas are just an annoyance.

If he said it on that date, say "On 31 August, he said [that] he might retire" or "He said on 31 August that he might retire." Otherwise, say "He said [that] he might retire on 31 August" or "He said that on 31 August he might retire."

Note the use of "might" instead of "may".
