1. She wants to talk to you and She wants to have a word with you. Are they both mean same? If there is any difference, please explain me.

1. She wants to talk to you. Just a normal conversation, on any subject. It can be serious, but maybe not.
2. She wants to have a word with you. This is unusual. It seems like you are in a bit of trouble and she wants a serious conversation.
