Analyses of sentences

A: Hey, Carl. I was just about to go out, What's up?
B: Nothing much. Except that my best friend is dating my sister behind my back.
A: How did you know that? I was going to tell you. But I was afraid you'd be upset.
B: Why would I be upset? Do you like Lena?
A: I love her.
B: Then I have no problem with that. But if you make her cry, you're dead.

I'd like to know if "Nothing much" means "There is nothing much."
And I'd like to know here what "would" means.

“Nothing much is up.” (There is something, but it isn’t that big a deal.)
“would” is conditional. (I will not be upset if you tell me you’re dating Lena.)
